Organiser Terms

These Organiser Terms ("Organiser Terms") govern the use of Setline's organiser tools and admin dashboard by festivals, events, and their authorised representatives. They apply to anyone who is granted a festival administrator account on Setline, on either the Free tier or the Pro tier.
These Organiser Terms apply in addition to Setline's general Terms of Service and Privacy Policy. Pro tier organisers are also subject to a separate written Pro Services Agreement that covers fees, promotional commitments, service levels, and specific Pro feature deliverables. If anything in a signed Pro Services Agreement conflicts with these Organiser Terms, the Pro Services Agreement prevails for that organiser.
By creating, accessing, or using a festival administrator account on Setline, you accept these Organiser Terms on behalf of yourself and the festival or organisation you represent.
1. Definitions
- "Setline," "we," "us," and "our" refer to the operator of the Setline platform, mobile applications, websites, and admin dashboard.
- "Organiser," "you," and "your" refer to the festival, event, promoter, or other organisation operating one or more Festivals listed on Setline, and any individual acting on its behalf with administrator access.
- "Festival" means any festival, event, or related activity that you operate, manage, or are authorised to represent on Setline.
- "Admin Dashboard" means the Setline admin interface for organisers, accessed via the web at the URL we provide from time to time.
- "Festival Information" means the lineup, schedule, set times, stage data, venue and site information, maps, artwork, descriptions, FAQs, safety notices, announcements, and any other content you submit, upload, or instruct us to display in connection with a Festival.
- "Free Tier" and "Pro Tier" refer to the access levels Setline offers organisers, as described from time to time on our website and in any Pro Services Agreement.
- "Service" means the Setline mobile applications, websites, Admin Dashboard, and related features made available to attendees and organisers.
2. Eligibility and Authority
By accepting these Organiser Terms or by accessing an organiser account, you confirm that:
- You are at least 18 years old.
- You have full authority to bind the Festival, and the legal entity that operates it, to these Organiser Terms.
- The information you have provided about your identity, your role, and the Festival is accurate and current.
- You will tell us promptly if you cease to have authority to act for the Festival, so that account access can be transferred or revoked.
Where you operate multiple Festivals from a single account, these Organiser Terms apply to each of them.
3. Account Responsibilities
You are responsible for keeping your account credentials secure. In particular:
- Do not share your password or sign-in link with anyone outside your authorised team.
- If multiple people on your team need access, request individual administrator accounts rather than sharing one.
- Notify us at [email protected] without delay if you suspect any unauthorised access.
- You are responsible for everything done under your account, including content posted, communications sent, and changes made to Festival Information.
We may, at our discretion, require multi-factor authentication, periodic password resets, or other security measures.
4. Festival Information You Provide
You are responsible for the accuracy, completeness, and lawfulness of all Festival Information you submit. By submitting Festival Information you represent and warrant that:
- You own, or have all necessary rights, licences, and permissions to use and to license to us, all Festival Information, including artist names, images, logos, sponsor logos, maps, and any third-party content.
- The Festival Information does not infringe any third party's intellectual property, privacy, publicity, or other rights, and does not breach any applicable law.
- You will keep Festival Information up to date, in particular set times, stage allocations, cancellations, and safety information.
- If something material changes (a headliner cancels, a stage moves, an event is postponed or cancelled), you will reflect that in Setline as soon as reasonably practicable.
We do not independently verify Festival Information and we may rely on what you submit, or instruct us to display, without further checking.
5. Licence to Setline
You grant Setline a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, display, distribute, translate, adapt, and otherwise use Festival Information for the purposes of:
- Operating, providing, and improving the Service for attendees;
- Marketing and promoting the Festival to current and prospective Setline users;
- Featuring the Festival in editorial, social, and promotional content for the Setline platform itself; and
- Producing aggregated, anonymised statistics and insights for industry research, public reporting, and commercial use, provided no individual attendee is identified.
This licence continues for as long as the Festival Information remains on the Service and for a reasonable period after deletion to account for backups, caching, archived editorial content, and historical year-on-year features (for example, lineup history, recap pages, and "this time last year" comparisons).
If you submit content owned by a third party (for example, an artist's press photo or a sponsor's logo), you confirm that the third party has authorised its use on Setline on these terms.
6. Acceptable Use of Organiser Communications
Setline lets you send push notifications, post announcements, and run polls or surveys to your Festival's attendees. When using these features, you agree that:
- Communications must be lawful, accurate, and relevant to the Festival or to an attendee's experience of it.
- You will not send spam, marketing for unrelated products or services, or content that promotes another event or platform in a way that competes with Setline's commercial interests, except where expressly permitted by your Pro Services Agreement.
- You will not send communications that are misleading, defamatory, harassing, discriminatory, sexually explicit, gratuitously violent, or otherwise unlawful.
- You will respect any attendee's choice to opt out of optional communications, and you will not attempt to circumvent opt-out mechanisms.
- You will comply with all applicable laws on electronic communications, marketing, and consumer protection (including, where applicable, the Australian Spam Act 2003, the UK Privacy and Electronic Communications Regulations, the GDPR, the CAN-SPAM Act, and equivalent laws in other jurisdictions).
- You will not use organiser communications for political campaigning, fundraising appeals, or anything outside the reasonable scope of operating the Festival.
We may suspend, throttle, or remove any organiser communication that we reasonably believe breaches these Organiser Terms or applicable law, with or without notice.
7. Attendee Data
Setline operates the Service for attendees. Attendees enter their own data into Setline (their schedules, profiles, friends, locations, step counts, and so on). You acknowledge and agree that:
- Setline is the controller of attendee personal data collected through the Service. By default, you are not given direct access to attendees' personal data, and you will not request, scrape, or otherwise attempt to obtain it. Pro tier organisers may receive specific categories of personal data only under a separate Data Processing Agreement signed with Setline, which sets out the categories shared, the purposes for which they may be used, the parties' respective controller and processor roles, and the security and retention terms that apply.
- The reports, dashboards, heatmaps, recap data, survey results, and analytics that Setline makes available to you are aggregated and de-identified. You will not attempt to re-identify any individual or combine them with other data to do so.
- Where we make available specific attendee-submitted content (for example, a poll vote, survey response, or feedback message), the attendee will have submitted it knowing it is shared with the Festival. You will use that content only for the purpose for which it was submitted, and only for as long as you reasonably need it.
- You will not export, sell, license, or otherwise share aggregated insights or attendee-submitted content with third parties (other than your professional advisers and contractors, on a need-to-know basis and under equivalent confidentiality obligations) without our prior written consent.
- Where you receive any personal data from Setline (for example, under a Data Processing Agreement, or where an attendee has chosen to share their contact details with you as part of a poll, survey, or competition entry), you will act as a separate controller of that data and will comply with applicable data protection law in relation to it.
You will not use any attendee insight to discriminate against, surveil, profile, or otherwise harm attendees, or to take action against any individual identified to you outside of legitimate festival operations such as safeguarding, safety, or refunds.
8. Pro Features
Pro tier features (such as live announcements at scale, advanced analytics, customer relationship tools, recap reports, custom branding, on-site map integration, and similar) are made available under a separate Pro Services Agreement, which sets out fees, promotional commitments, service levels, and feature-specific deliverables. These Organiser Terms apply alongside that Pro Services Agreement and continue to govern conduct, content, security, and acceptable use.
If we offer you a beta, trial, or preview Pro feature without a separate written agreement, you may use it on the basis that it is provided "as is", may change or be withdrawn at any time, and is subject to any additional terms we communicate at the time of access.
9. Intellectual Property
Setline (including the Setline name, logo, "Setline" wordmark, app design, dashboard interface, source code, documentation, and all other materials we provide) is owned by Setline or its licensors. We grant you a limited, revocable, non-transferable, non-sublicensable licence to access and use the Admin Dashboard solely for the purpose of operating your Festival on Setline.
Nothing in these Organiser Terms transfers any ownership of Setline's intellectual property to you. You will not use the Setline name, logo, or any "Powered by Setline" or similar mark except where we have provided written branding guidelines or assets for that purpose.
You retain ownership of your own brand, logo, and Festival Information. Your licence to us is set out in clause 5.
10. Confidentiality
In the course of using the Admin Dashboard and any beta or Pro features, you may receive information that is not publicly available, including unreleased features, internal metrics, pricing, and roadmap information ("Confidential Information"). You will:
- Use Confidential Information only for the purpose of operating your Festival on Setline.
- Not disclose Confidential Information to any third party (other than your professional advisers and contractors, on a need-to-know basis and under equivalent confidentiality obligations) without our prior written consent.
- Protect Confidential Information with at least the same degree of care you use to protect your own confidential information of similar importance, and in any event no less than a reasonable standard of care.
This obligation continues for two (2) years after your account is closed, except for trade secrets, which remain confidential for as long as they remain trade secrets.
11. Prohibited Conduct
You will not, and will not permit anyone using your account or acting on your behalf to:
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service.
- Scrape, crawl, harvest, or systematically extract data from the Service, including attendee data, except via the interfaces and exports we expressly provide.
- Probe, scan, test the vulnerability of, or interfere with the integrity or performance of the Service or any related infrastructure.
- Use the Service in a way that introduces malware, viruses, or other harmful code.
- Use the Service to build a competing product or to benchmark for a competing product.
- Misrepresent your relationship with Setline (for example, by claiming an endorsement, partnership, or commercial relationship that does not exist).
- Use the Service in breach of any applicable law, including export controls, sanctions, anti-bribery, and consumer protection laws.
12. Suspension and Termination
You may close your organiser account at any time by writing to [email protected]. We will close it within a reasonable period, subject to any retention requirements imposed by law and to our right to retain and continue to use Festival Information that has already been displayed to attendees.
We may suspend or terminate your access to the Service, and remove any Festival Information from public display, without notice if:
- We reasonably believe you have breached these Organiser Terms or any Pro Services Agreement;
- We reasonably believe doing so is necessary to protect the safety, security, privacy, or interests of attendees, other organisers, third parties, or Setline;
- A regulator, law enforcement agency, or court requires us to;
- Your account has been inactive for an extended period; or
- We discontinue the Service or any part of it.
On termination of your access, the licence in clause 5 survives in respect of Festival Information that has already been displayed (so historical lineup, recap, and editorial features remain consistent), and the surviving sections in clause 19 apply.
13. Changes to the Service
We are continuously improving Setline. We may add, remove, change, or replace features at any time. Pro features in particular may evolve, and the specific features available are described from time to time in the Admin Dashboard, on our website, or in your Pro Services Agreement.
We will not be liable to you for any change to the Service, except where a Pro Services Agreement expressly provides otherwise.
14. Disclaimers
The Admin Dashboard and any Free tier organiser features are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or fit for any particular purpose, that defects will be corrected, or that any data will be preserved without loss.
Setline is a planning, scheduling, communication, and discovery platform. We are not a ticket seller, event producer, promoter, or insurer. We do not guarantee any level of attendance, ticket sales, sponsorship, media coverage, app installs, notification deliverability, or any other commercial outcome for any Festival. Specific commitments, where they exist, are set out only in a Pro Services Agreement.
15. Limitation of Liability
To the maximum extent permitted by applicable law:
- Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, or data, arising out of or in connection with these Organiser Terms or the Service, even if advised of the possibility of such loss.
- Setline's total aggregate liability to you arising out of or in connection with these Organiser Terms and your use of the Service in any twelve (12) month period will not exceed the greater of (a) the fees actually paid by you to Setline under any Pro Services Agreement in that period, and (b) one thousand Australian dollars (AUD $1,000).
Nothing in these Organiser Terms limits or excludes any liability that cannot be limited or excluded by law, including liability for fraud, fraudulent misrepresentation, or non-excludable rights and guarantees under the Australian Consumer Law.
16. Indemnity
You agree to indemnify, defend, and hold harmless Setline and its officers, directors, employees, contractors, and agents from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Festival Information you submit, upload, or instruct us to display, including any allegation that it infringes a third party's rights or breaches applicable law;
- Communications you send through the Service to attendees;
- Your breach of these Organiser Terms or any Pro Services Agreement;
- Your operation of the Festival itself, including any incident, injury, or loss occurring at or in connection with it; and
- Any claim brought against Setline by an attendee or third party in respect of conduct attributable to you or to anyone using your account.
17. Relationship Between the Parties
Nothing in these Organiser Terms creates a partnership, joint venture, employment, agency, or franchise relationship between you and Setline. Neither party is authorised to make any representation, contract, or commitment on behalf of the other.
18. Governing Law and Disputes
These Organiser Terms are governed by and construed in accordance with the laws of Australia. The parties submit to the exclusive jurisdiction of the courts of Australia for any dispute arising out of or in connection with these Organiser Terms or the Service, except that Setline may bring proceedings to enforce its intellectual property rights, or to obtain injunctive or equitable relief, in any court of competent jurisdiction.
Nothing in these Organiser Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law or any other applicable legislation that cannot be excluded, restricted, or modified by agreement.
19. General
- Survival. Clauses 4 and 5 (in respect of Festival Information already provided), 7, 9, 10, 14, 15, 16, 18, and this clause 19 survive termination.
- Variation. We may update these Organiser Terms from time to time. For material changes we will give you reasonable notice and may require you to re-accept the updated terms before continuing to use the Admin Dashboard. Non-material changes take effect when the updated terms are posted.
- Entire agreement. These Organiser Terms, together with any Pro Services Agreement signed with you, our Terms of Service, and our Privacy Policy, form the entire agreement between you and Setline in respect of the Service. They supersede any prior agreement on the same subject matter.
- Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
- No waiver. Our failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign or transfer these Organiser Terms without our prior written consent. We may assign or transfer them, in whole or in part, to a successor or affiliate.
- Notices. Notices to you will be sent to the email address associated with your administrator account. Notices to Setline should be sent to [email protected].
